Corporate & Commercial Law Lawyer in Bulacan
We advise Bulacan family enterprises and manufacturers in Malolos, Meycauayan, Marilao, and San Jose del Monte on incorporation and restructuring, shareholders' agreements among family members, succession-driven reorganisation, supply and distribution contracts, and corporate compliance.
The defining Bulacan corporate project is the generational handover. It usually needs three things done together: the estate settled so the shares and land actually move to the heirs, the corporate documents updated so the board and share register reflect reality, and a governance arrangement — shareholders' agreement, board composition, dividend and employment policy — that lets siblings and cousins run a business together without deadlock. Doing only one of the three is what produces the intra-corporate cases we later see.

Frequently asked questions
How do we transfer a family company to the next generation?
Through settlement of the estate or a lifetime transfer of shares, with the tax consequences assessed in advance, followed by updating the stock and transfer book and the corporate filings. A governance agreement should be put in place at the same time.
Can family members be locked into the company?
Share transfer restrictions, rights of first refusal, and buy-sell provisions in a shareholders' agreement or the articles can control who ends up owning shares, and give an exit route to a member who wants out without breaking the business.
What happens if the siblings deadlock?
Without a deadlock mechanism, the dispute goes to a special commercial court, which is slow and public. A pre-agreed mechanism — casting vote, buy-out formula, or mediation — resolves it privately and far more cheaply.
